Reporting to the Chief Counsel, Arrowhead Intermediaries, the Counsel will provide legal support to the Arrowhead Intermediaries platform across its three divisions. This role willĀ assistĀ with legal, regulatory, contract, governance, and operational matters related to specialty distribution insurance operations, including programs, wholesale, and specialty businesses. The Counsel will work closely with business leaders, compliance, finance, technology, team resources, and members of the Brown & Brown Legal Department to support sound legal guidance, mitigate risk, and enable responsible business growth.Ā

How You Will Contribute:āÆāÆĀ
Assist the Chief Counsel, Arrowhead Intermediaries with legal matters supporting specialty distribution insurance operations across Arrowhead Intermediariesā wholesale,Ā programsĀ and specialty divisions.Ā
Support the Chief Counsel and business in analyzing legal and compliance matters related to strategic initiatives, including new product development, new program launches, cross-borderĀ projectsĀ and M&A.Ā
Draft, review, and negotiate routine and complex contracts, including all forms of insurance distribution agreements and related commercial contracts such as, producer agreements, program administration agreements, claims administration agreements, fronting agreements, vendor agreements, non-disclosure agreements, and related business contracts.Ā
Work collaboratively across wholesale, programs and specialty divisions with business and operations, compliance, IT, finance, tax, teamĀ resourcesĀ and leadership teams to provide clear, pragmatic advice to support specialty distribution initiatives.Ā
Research andĀ monitorĀ applicable insurance laws, regulations, and regulatory developmentsĀ impactingĀ supported businesses.Ā
AssistĀ with pre-litigation ofĀ matters, claims, disputes, subpoenas, regulatory inquiries, and internal investigations.Ā
Support corporate governance, entity management, internal policies, ethics, and compliance initiatives as needed.Ā
Collaborate with enterprise partners, including tax, IT, finance, compliance, privacy, technology counsel, regulatory counsel, litigation counsel, and team resources.Ā
Escalate significant legal, regulatory, or business risk matters to the Chief Counsel orĀ appropriate LegalĀ Department leader.Ā

Licenses and Certifications:āÆāÆāÆĀ
Active license to practice law and member in good standing with at least one U.S. state bar.Ā
Ā
Skills & Experience to Be Successful:āÆĀ
Juris Doctor degree from an accredited law school.Ā
At least 7 years of legal experience focused on general corporate and transactional matters with three to five years of experience in-house at an insurance carrier, MGA, MGU, insurance brokerage, wholesale brokerage, or with a law firm advising (re)insurance clients. Carrier or MGA experience isĀ required.Ā
Strong knowledge of US admitted and E&S market regulation. Working knowledge of US cybersecurity, privacy, and AIĀ regulation. Familiarity with Bermuda,Ā UKĀ and EU (re)insurance regulatory regimes helpful.Ā
Strong drafting, legal research, analytical, negotiation, and communication skills.Ā
Ability to work independently while appropriately escalating issues to senior legal counsel.Ā
Ability to partner effectively with business leaders and cross-functional teams in a fast-paced, decentralized environment.Ā
High levelĀ of discretion and ability toĀ maintainĀ confidentiality.Ā
10ā25% as needed for projects, meetings, or visits toĀ supportedĀ Profit Centers.Ā
Pay Range
$175,000 - $225,000 AnnualThe pay range provided above is made in good faith and based on our lowest and highest annual salary or hourly rate paid for the role and takes into account years of experience required, geography, and/or budget for the role.
