Role Overview

We are looking for a Commercial Contracts / Contract Review professional to support the Legal team in reviewing and analyzing commercial and technology-related agreements.
This is a review-focused role, requiring strong hands-on experience in clause-level contract review, redlining, risk identification and deviation analysis. The role will work with global stakeholders and apply established contractual guidelines/playbooks to ensure agreements are aligned with business and legal requirements.​

Key Responsibilities
ā— Review and analyse commercial and technology contracts on a clause-by-clause basis.
ā— Review agreements such as:
ā—‹ Master Service Agreements (MSAs)
ā—‹ Statements of Work (SOWs)
ā—‹ Non-Disclosure Agreements (NDAs)
ā—‹ SaaS agreements
ā—‹ Vendor / supplier agreements
ā—‹ Software / technology agreements
ā—‹ Data Processing Agreements (DPAs)
ā—‹ Amendments, order forms and related commercial documents
ā— Perform redlining and contractual risk assessment.
ā— Identify deviations from standard contractual positions and applicable playbooks/guidelines.

ā— Assess key provisions including:
ā—‹ Limitation of liability
ā—‹ Indemnification
ā—‹ Intellectual property
ā—‹ Confidentiality
ā—‹ Data privacy / protection
ā—‹ Warranties
ā—‹ Termination
ā—‹ Payment terms
ā—‹ Service levels / SLA
ā—‹ Governing law and dispute resolution
ā— Highlight contractual risks, gaps and non-standard provisions for internal stakeholders.
ā— Provide clear review comments, risk summaries and recommendations.
ā— Ensure consistency with approved contractual standards and internal policies.
ā— Coordinate with Legal, Business and other internal stakeholders to resolve review comments and obtain necessary approvals/escalations.
ā— Maintain high accuracy and turnaround time while handling multiple agreements/high-volume contract reviews.
ā— Use contract lifecycle management and legal technology tools to support the review process.


Requirements


ā— 4.5 –8 years of relevant experience in commercial contract review, contract analysis or legal contract services.
ā— Strong hands-on experience in contract review and redlining.
ā— Experience reviewing multiple commercial agreement types, particularly MSA, SOW, NDA, SaaS, vendor, technology and DPA agreements.
ā— Strong understanding of contractual clauses and commercial/legal risks.
ā— Experience working with contractual playbooks, review guidelines or standard templates.
ā— Exposure to US/UK/EMEA/APAC contracts or global stakeholders preferred.
ā— Experience with CLM/legal technology tools is an advantage.
ā— Strong written and verbal English communication skills.
ā— Excellent attention to detail and ability to identify contractual deviations and risks.

Ideal Candidate Profile:

We are particularly interested in candidates whose day-to-day work is primarily:
Review → Clause Analysis → Redlining → Risk/Deviation Identification → Playbook Application → Comments/Escalation
Candidates whose experience is predominantly contract administration, procurement, CLM operations, drafting, negotiation or general legal advisory without substantial hands-on contract review would not be the primary fit.

Education:

LLB / LLM or equivalent legal qualification preferred.
