•     Assist the Senior Manager and/or Head of Department in overseeing theoperations of the Corporate Secretarial function, while helping build acapable, collaborative and high-performing team.
•     Guide, supervise and mentor team members, offering coaching andconstructive performance feedback to support their development.
•     Manage a portfolio of listed and non-listed companies within the Group,ensuring compliance with all applicable statutory, regulatory and governancerequirements.
•     Plan and coordinate Board, Board Committee and shareholder meetings,including preparing, reviewing and circulating meeting materials.
•     Attend meetings and produce accurate minutes, resolutions and othercorporate secretarial records, following up promptly on decisions and actionitems.
•     Provide corporate secretarial, governance and regulatory advisorysupport to the Board, its Committees and senior management.
•     Prepare and review annual report disclosures, corporate governancestatements, Bursa Malaysia announcements, shareholder circulars and othercorporate secretarial documentation.
•     Support the development and implementation of governance frameworks,policies and procedures aligned with regulatory requirements and industry bestpractices.
•     Assist with corporate exercises, due diligence assignments, specialprojects and the compilation of statutory and corporate information.
•     Liaise with regulatory authorities, share registrars, auditors, legaladvisers and other professional advisers, ensuring statutory records andcorporate documents are properly maintained.
Requirements
- ICSA qualification or an equivalent professional qualification.
- Minimum 8 years of relevant corporate secretarial experience, preferably with exposure to public listed companies.
- Sound knowledge of the Companies Act 2016, Bursa Malaysia Main Market Listing Requirements, corporate governance principles and related regulatory requirements.
- Hands-on experience organising and attending Board, Board Committee and shareholder meetings, including drafting minutes, resolutions and other corporate secretarial documents.
- Strong written and verbal communication skills in English and Bahasa Malaysia.
- Proven leadership experience, with the ability to supervise, coach and develop team members.
- Good interpersonal and stakeholder management skills, with the ability to engage effectively with directors, senior management and external advisers.
- Proactive and organised, able to work independently while managing multiple priorities in a fast-paced environment.
- A strong team player with a collaborative mindset and the ability to build effective working relationships across all levels of the organisation.
