Legal Counsel

This opportunity will provide legal, commercial and risk management support.

The emphasis of this role will be in the areas of commercial and contract law, construction law as it relates to projects and services provided by our client, as well as the provision of legal advice more generally to the business, including matters relating to corporate governance, claims and litigation, and compliance.

The right individual will be required to draft and support the business in negotiating a broad range of contracts for the business operations in the UK.

Legal Responsibilities: Legal Counsel

• Proactively promote and practice effective and professional legal advice.
• Support pre-contractual legal considerations such as review and analysis of ITT’s/RFQs and provision of ad hoc (strategic) advice to the sales, procurement and/or execution teams.
• Drafting and negotiating contracts, variations, and related documents forms as required.
• Support and advise the business teams on contract compliance, contract awareness, contract change management and related matters.
• Concentrate support as required in relation to Corporate Governance and Compliance Matters.
• Ensure a consistent pass-through of contractual positions and risks to suppliers/subcontractors.
• Engage closely with the business teams to ensure that legal/commercial outputs are in compliance with business policies.
• Attend contractual meetings with customers (including co-operation with purchasing on supply contracts) on contractual issues before closing.
• Support other Legal Counsel in helping European or  Group Legal in relation to both contentious and non-contentious matters where appropriate.

Financial Management

• Liaise with Treasury regarding credit security matters.

Qualifications & Experience: Legal Counsel

• Degree in law
• Solicitor or equivalent, admitted in a common law jurisdiction additional European/civil law qualification is a plus.
• Demonstrates and applies comprehensive knowledge of the field of specialisation to the successful completion of complex assignments.
• Demonstrates advanced knowledge of complex concepts, practices, and procedures of a particular area of contract specialisation.
• Proven record in commercial legal work.
• Thorough legal drafting and good negotiation skills, coupled with business-driven legal advisory tasks.
• Knowledge of standard form engineering contracts typically used in the industry, such as MF1 and FIDIC.
• Several years of commercial experience, and specifically negotiating commercial construction-related contracts, is a plus.
