We are supporting a dynamic business with the recruitment of an experienced Corporate Governance Specialist who can work directly with their clients in conjunction with a Director, providing a full outsourced support service to companies across a huge range of disciplines.
You will manage the end-to-end company secretarial and governance needs for the company's diverse client base. You will ensure that companies are constituted correctly, that structures are optimised and that all statutory obligations are met in a timely, accurate and client-friendly way. This role bridges technical compliance, governance best-practice and excellent client service.
Key Responsibilities
- Handle company formations, setting up share structures, and re-organisations to reflect client needs and legal/regulatory compliance.
- Maintain and update statutory registers, minute books and company records.
- Draft, circulate and file board minutes, shareholders' resolutions and governance documentation.
- Prepare and submit requisite filings with Companies House: confirmation statements, officer changes, share capital changes, etc.
- Assist in structure reviews, ownership changes, group or parent/subsidiary relationships, ensuring legal compliance and optimal structuring.
- Advise clients on corporate governance, director duties, compliance requirements under company law.
- Support due diligence exercises where necessary.
- Monitor relevant legislative and regulatory developments and ensure the firm and clients are up to date.
- Collaborate with other teams to deliver integrated advice.
- Provide excellent client service: clear explanation, timely updates, accessible assistance.
Key Skills & Experience
- Previous experience in a company secretarial or corporate governance role, ideally within an accountancy practice or professional services.
- Strong working knowledge of the Companies Act 2006, Companies House filing processes and other relevant statutes & regulations.
- Excellent drafting skills (minutes, resolutions, statutory documents), with high attention to detail.
- Organised, methodical, able to manage multiple concurrent client engagements and deadlines.
- Strong verbal and written communication skills; able to explain technical information clearly.
- Ability to build strong client relationships and be seen as a trusted advisor.
- Relevant qualification (ICSA/CGI or equivalent) or working towards such is desirable but not essential.
