Senior Legal Counsel – Real Assets

The Role

The company is seeking a transaction lawyer to join the Unlisted Investments legal team in their Legal & Tax. The team has five lawyers from different jurisdictions spread between London, Oslo and New York, and has a key role in ensuring that they successfully navigates the legal landscape relevant to direct real assets investments in different jurisdictions in Europe, North America and Japan and giving support to the investment teams managing unlisted renewable energy infrastructure and real estate investments.  

The position will be based in London and will report to Albert Fiddan Nilsen, Head of Unlisted Investments, Legal & Tax. Travel will be required, in particular to their Paris office where a significant part of the continental Europe investment team is located. International assignments to New York or Oslo may also be relevant depending on business needs.

  • Provide transaction support to the investment teams on real assets investments, predominately relating to real estate in France, Germany and UK. They are a small team of lawyers and it will also at times be required to support team members on other areas, such as US real estate and renewable energy infrastructure.
  • Advise on investment structures, acquisition agreements, joint venture agreements, shareholder agreements, leases, operation and management agreements, merger clearance, government approvals, regulatory issues, etc.
  • Engagement/procurement and oversight of external lawyers, financial and technical advisors. It operates an outsourced model, procurement and management of appropriate external advisors, so relationships management is part of the role.
  • Input to internal investment memoranda and monitor legal look out functions, contribute to internal policies, guidelines and procedures relevant to renewable energy infrastructure and real estate investment.
  • Legal advice in connection with existing investments; company law and intra group questions.
  • Support in connection with internal and external audit processes and legal questions relating to mandate and provide legal input in connection with exploring new markets.

Skills and Qualifications

A law degree with good academic record from a university in Europe or US and a minimum 10 years’ experience as an international real estate transaction lawyer with extensive experience on direct investments. Knowledge of renewable energy infrastructure investments is an advantage. Proficiency in written and spoken English is required, while proficiency in French is highly advantageous and proficiency in German is beneficial Knowledge and curiosity around use of AI and new technologies is also an advantage.
