Aderant is seeking a Commercial Counsel to support its growing commercial contracting needs. This role offers direct responsibility for commercial transactions at a growing software company. You will work with Aderant's Sales, Finance, Product, Security, and Professional Services teams, and negotiate directly with legal and business teams representing leading law firms. You will gain broad experience with how software products are developed, sold, implemented, and supported.

 

Aderant's product portfolio and client base have expanded substantially, including through several acquisitions. As the business has grown, so have the volume and complexity of the matters handled by the Legal Department. This position will have meaningful ownership of client transactions, with support from an experienced legal team and increasing responsibility as you grow into the role.

 

This position sits within Aderant's Legal Department and is based in Aderant's Atlanta headquarters, with a hybrid schedule of three days in the office and two days remote.

 

Key Responsibilities

 

In this role, you will:

·         Draft and negotiate SaaS subscription agreements, software licenses, order forms, amendments, professional services agreements, and related commercial documents, working directly with legal and business teams at sophisticated law firms

·         Manage multiple deals and matters at once, exercising judgment about priorities and when escalation is appropriate

·         Apply Aderant's contracting standards and risk positions, and explain the reasoning behind them to clients and internal stakeholders

·         Advise on partnership agreements, vendor contracts, and other commercial matters in addition to customer deals

·         Work with Sales, Finance, Product, Security, and Services to identify legal and operational issues and structure workable business terms

·         Build familiarity with data privacy, information security, and artificial intelligence terms as they come up in deal flow

·         Help improve contract templates, playbooks, and other tools used by the Legal Department

·         Collaborate with Aderant's contract managers and administrators to move deals efficiently from intake through signature

·         Draw on the broader legal resources of Aderant's parent company, Roper Technologies, a member of the Nasdaq 100 and S&P 500

 

Qualifications and Experience

 

Required:

·         Juris Doctor degree from an accredited law school and active membership in good standing with at least one U.S. state bar

·         Strong analytical, drafting, and communication skills

 

The ideal candidate would also have:

·         Experience drafting or negotiating commercial agreements, or a strong foundation in legal analysis, drafting, or client service more broadly

·         Relevant background from a law firm, in-house legal department, government position, litigation practice, contract management or legal operations role, or a business function such as sales, consulting, finance, or operations

·         No specific technology or SaaS background is required, though it's a plus

·         Sound judgment and a practical approach to problem-solving
