JOB DESCRIPTION SUMMARY- The Associate Counsel, under the direction of the Division President, provides legal advice and prepares and reviews legal documentation for the organization.

KEY RESPONSIBLITIES

  • Entity Administration:
    1. Drafting and preparing certificates of formation and articles of incorporation
    2. Assisting with drafting and preparing operating agreements and other governing documents
    3. Assisting with preparing organizational charts for project
    4. Renewing entities.

 

  • Homeowners’ Association:
    1. Assisting with drafting and preparing homeowners’ association’s governing documents
    2. Coordinating with outside counsel, as applicable, and reviewing draft declarations
    3. Coordination with homeowners’ association management companies.

 

  • Real Property Acquisitions, Dispositions, and Development:
    1. Assisting in drafting and preparing initial letters of intent (LOI)
    2. Assisting in drafting and preparing initial purchase and sale agreements
    3. Assisting in reviewing and preparing redlines to purchase and sale agreements
    4. Assisting in drafting and preparing easements, temporary licenses, development agreements, and other related documents
    5. Assisting in the closing process

PREFERRED QUALIFICATIONS

  1. Juris Doctor Degree from an accredited University
  2. Proficient computer skills, including Microsoft Office Suite (Word, PowerPoint, and Excel); scheduling and organization skills necessary.
  3. Excellent written and verbal communication skills
  4. Excellent time management skills; able to prioritize
  5. Able to organize and manage large amounts of tasks, schedules, and information
