Trinity Industries is seeking a highly skilled Corporate & Securities Paralegal to join our dynamic legal team. This role is integral to supporting corporate governance, securities compliance, and regulatory matters. Key Responsibilities

  • Support the Vice President and Corporate Secretary on corporate, securities, board governance, and various regulatory legal matters
  • Assist with preparation and posting of agendas, presentations, and minutes for Board of Directors and Committee meetings
  • Serve as the primary administrator for the company’s electronic Board portal
  • Support annual proxy statements and stockholder meetings, including director/officer questionnaires
  • File annual corporate governance documents with the NYSE, including affirmations and dividend notices
  • Manage regulatory filings and ensure compliance with applicable requirements
  • Oversee subsidiary maintenance, including consents, filings, qualifications (domestic and international), and entity changes
  • Assist with mergers, acquisitions, and other corporate transactions through due diligence and document preparation
  • Collaborate with internal teams (Legal, Capital Markets, etc.) to provide corporate documentation and support business initiatives
  • Conduct legal research and assist attorneys with special projects
     


 

Qualifications

  • Bachelor’s degree in paralegal studies or related field, or equivalent experience
  • 7–10 years of experience as a paralegal in a corporate legal environment or large law firm
  • Strong knowledge of entity management, corporate governance, finance, and securities law
  • Exceptional organizational, communication, and legal research skills
  • Proactive, detail-oriented, and able to manage multiple priorities in a collaborative team setting
