Role Description

The Corporate Counsel is the organization's senior legal executive responsible for leading the company's legal strategy, governance, ethics, compliance, and risk management functions. The Corporate Counsel serves as a strategic advisor to the executive leadership team, ensuring the organization operates in compliance with applicable laws while supporting business growth and innovation. This executive provides legal oversight for corporate governance, commercial transactions, regulatory compliance, litigation, mergers and acquisitions, employment matters, intellectual property, data privacy, and enterprise risk management.

Key duties and responsibilities, other duties may be assigned:


Executive Leadership:
  • Serve as a strategic advisor to the executive leadership team, on legal, regulatory, governance, and business matters.
  • Develop and execute the organization's legal strategy aligned with corporate objectives.
  • lead and manage the legal department and external counsel.
  • Foster a culture of ethics, integrity, accountability, and legal compliance across the organization.

Policy Development & Documentation

  • Advise executive leadership on governance responsibilities and fiduciary duties
  • Oversee corporate governance practices, board meetings, committee activities, and corporate records. 
  • Ensure compliance with applicable corporate laws and governance standards. 

Commercial Transactions

  • Oversee negotiation and execution of complex commercial agreements. 
  • Provide legal guidance on strategic partnerships, procurement, sales, licensing, technology, and vendor relationships. 
  • Develop contract standards and risk management frameworks. 
  • Regulatory Compliance & Ethics
  • Direct enterprise compliance and ethics programs. 
  • Ensure compliance with applicable federal, state, and international laws and regulations. 
  • Oversee investigations involving legal, regulatory, or ethical issues. 
  • Advise on regulatory developments affecting business operations. 

Risk Management & Litigation

  • Identify and mitigate legal and business risks across the enterprise
  • Oversee litigation strategy and management of outside counsel. 
  • Manage claims, investigations, regulatory inquiries, and dispute resolution. 
  • Collaborate with enterprise risk management and internal audit functions.

Corporate Transactions

  • Lead legal support for mergers, acquisitions, divestitures, joint ventures, financings, and strategic investments. 
  • Conduct legal due diligence and oversee transaction documentation. 
  • Advise executive leadership on transaction-related legal risks.

Employment & Labor

  • Provide executive-level guidance on employment law, executive compensation, labor relations, workplace investigations, and workforce policies. 
  • Partner with Human Resources on organizational initiatives and employment compliance. 
  • Privacy, Cybersecurity & Intellectual Property
  • Oversee legal aspects of data privacy, cybersecurity, artificial intelligence governance, and intellectual property protection.
  • Advise on emerging legal risks involving technology and digital transformation

Financial & Operational Leadership

  • Manage the legal department budget and outside counsel expenditures. 
  • Establish legal operations metrics and continuous improvement initiatives. 
  • Implement technology and contract management solutions to improve efficiency.

Education, Skills & Experience

  • Juris Doctor (J.D.) from an accredited law school.
  • Active license to practice law in at least one U.S. jurisdiction.
  • 15+ years of progressively responsible legal experience, including significant corporate or in-house leadership experience.
  • Demonstrated success advising executive leadership and Boards of Directors.
  • Extensive experience in commercial transactions, corporate governance, regulatory compliance, litigation management, and enterprise risk.
  • Strong leadership and people management experience.

Preferred Qualifications

  • Previous experience as General Counsel, Deputy General Counsel, or Assistant General Counsel.
  • Experience leading legal functions in a publicly traded, private equity-backed, nonprofit, or highly regulated organization.
  • Knowledge of securities law, international business, data privacy, cybersecurity, ESG, and corporate compliance.
  • Experience leading organizational transformation and strategic business initiatives.
