JOB OVERVIEW
Coolidge Wall Co., L.P.A., is currently recruiting a Corporate M&A Paralegal who is looking to join an established team of respected attorneys in our Dayton, Ohio location.  This is a full-time, in office position.

ABOUT THIS POSITION
The successful candidate should have an outgoing personality, enjoy collaborating with coworkers and clients as a team player, and willingness to take on responsibilities as appropriate.

  • 5+ years or more of high level corporate transactional experience
  • Associate or Bachelor’s degree or significant experience
  • Excellent communication skills
  • Attention to detail
  • Ability to work independently
  • Ability to multi-task and prioritize assignments while delivering consistent, quality work product for both attorneys and clients



JOB RESPONSIBILITIES

  • Coordinating due diligence (including management of electronic data rooms) for a variety of corporate transactions, including mergers, acquisitions, dispositions, financing, etc.
  • Preparing closing checklists and coordinating the closing process for various corporate transactions
  • Reviewing and summarizing UCC, judgment, tax, and other lien searches
  • Preparing and distributing closing binders
  • Preparing and filing a variety of documents, including certificates of incorporation/formation, merger, and dissolution, and other corporate filings, corporate resolutions, and UCC financing statements.
  • Maintaining client minute books and managing corporate records.
