Position Overview
Kelso Industries is looking for a Corporate Paralegal to join our growing legal and compliance team. This role will play an important part in supporting corporate governance, regulatory compliance, licensing administration, contract management, and litigation support activities across our family of MEP+ operating companies. The ideal candidate is a highly organized professional who thrives in a fast-paced environment, enjoys solving complex administrative challenges, and can effectively manage multiple priorities while partnering with stakeholders across the organization. This position offers the opportunity to help develop legal processes and contribute to the continued growth of our expanding portfolio.

Primary Responsibilities

Corporate Governance & Regulatory Compliance

  • Maintain company records, organizational documents, and corporate governance files for multiple business entities.
  • Assist with entity formations, state registrations, foreign qualifications, and related corporate filings.
  • Coordinate annual compliance requirements, including report filings and registered agent services.
  • Support implementation and maintenance of compliance initiatives, policies, and internal controls.
  • Assist with compliance reviews, internal audits, and information-gathering efforts related to legal matters.

Business Licensing & Registration Management

  • Administer company licensing programs, including application preparation, renewals, and ongoing compliance tracking.
  • Maintain accurate licensing records through software platforms and internal reporting tools.
  • Partner with operating company leadership to ensure licensing requirements are met across multiple jurisdictions.
  • Research licensing regulations and assist with resolving licensing questions and compliance concerns.
  • Support integration efforts by coordinating licensing activities for newly acquired businesses.

Contract & Document Administration

  • Manage legal document repositories and maintain organized records of customer, vendor, and real estate agreements.
  • Coordinate contract execution processes and ensure complete documentation is retained.
  • Assist with updating templates, standard forms, and legal workflow documentation.
  • Track key contract dates and support ongoing agreement administration.

Dispute Resolution & Legal Matter Support

  • Partner with outside counsel and internal stakeholders on litigation, claims, and dispute-related matters.
  • Coordinate document collection, preservation, and production activities.
  • Monitor legal invoices and assist with outside counsel administrative management.
  • Maintain organized records related to legal proceedings and claims management.

Desired Qualifications

  • 3+ years of paralegal, legal operations, corporate governance, or related legal support experience.
  • Experience managing business, contractor, or trade licensing requirements across multiple states is highly preferred.
  • Knowledge of corporate records management, compliance processes, and legal documentation.
  • Strong organizational skills with exceptional attention to detail and follow-through.
  • Ability to balance multiple projects and deadlines in a dynamic environment.
  • Excellent written and verbal communication skills.
  • Experience supporting construction, engineering, industrial, or multi-entity organizations is a plus.
  • Familiarity with lien documentation and related filing requirements is preferred.
  • Positive attitude, collaborative approach, and desire to contribute to a growing legal function.
