Position Summary

The Contracts Manager oversees the full lifecycle of company contracts, including the review, negotiation, execution, and administration of prime contracts, subcontracts, vendor agreements, and related legal documents. This role leads subcontractor and vendor risk assessments, ensuring compliance with legal, regulatory, insurance, bonding, and prime agreement requirements.

Working closely with executive leadership, operations, and external legal counsel, the Contracts Manager mitigates contractual risk, supports dispute and claims management, manages bond and notice requirements, and maintains standard contract templates. The position also monitors Texas contract and public works statutes, drives process improvements, and ensures alignment between contractual obligations and operational execution.

 

Responsibilities

  • Manage review, negotiation, and execution process of legal agreement documents, including, but not limited to, Prime Contracts, Master Subcontract Agreements, Service Agreements, Purchase Orders, Consulting Agreements, Licensing Agreements, Non-Disclosure Agreements, Liability Waivers, General Terms of Agreement, and Amendments.
  • Conduct thorough assessments of new and ongoing Subcontractors, Suppliers, or Vendors to identify potential contractual risks. Including compliance, financial and operational factors.
  • Maintain and analyze data collected from various sources to identify potential risk factors associated with Subcontractors, Suppliers, Vendors to mitigate REEDER’ potential risks.
  • Communicate findings to CEO, preconstruction team, project managers and HSE manager while providing regular updates on risk status and recommend corrective actions.
  • Ensure that subcontractors comply with all legal, regulatory, prime agreement obligations and company-specific requirements, including insurance and bonding.
  • Identifying opportunities to improve operating processes, procedures and assist in creating best practices of implementation companywide.
  • Stay updated with current Texas Legislative Statues, relating to Contract Law and Public Works to remain relevant and effective.
  • Work closely with operational team members to ensure support, understanding REEDERS’s standard contract documents.
  • Work closely with the CEO on all legal updates, drafting documentation and correspondence, during disputes/claims as required by REEDER external legal support team. Including updating standard contract templates.
  • Coordinate with insurance and bonds agents on all required compliance of Prime Agreements for all new and ongoing projects.
  • Manage, distribute and maintain all bond claims, required notices including third-party claims to transfer potential risk to original claimant or subcontractor at fault.
  • Review awarded projects with President as necessary to assist with contract negotiations, compliance requirements and all necessary documents to achieve NTP.
  • Perform other job-related duties as assigned.
