Position Summary:
This position provides legal support to the company and its various teams, with a primary focus on the negotiation, drafting, review, and administration of the company’s contracts, including vendor agreements, library/content licensing, and master service agreements with service providers. Reporting to the General Counsel, and collaborating with other members of the Legal department, Counsel will assist with these matters and, over time, take on increasing responsibility for them. The position also provides secondary legal support to the Human Resources department and assists across a range of commercial, contract, compliance, and general corporate matters.
Primary Duties and Responsibilities:
To perform this position successfully, an individual must possess and exhibit the knowledge, skill, and/or ability to satisfy the requirements listed below, among others.
- Assists with the negotiation, drafting, review, and administration of the company’s contracts, including vendor agreements, library/content licensing, and master service agreements with service providers, taking on increasing responsibility for these matters over time.
- Manages the contract lifecycle, including renewals, amendments, recordkeeping, and tracking of key obligations and deadlines.
- Develops strategies to resolve legal matters favorably and cost-effectively.
- Prepares contracts and legal documents professionally, accurately, and in a timely manner.
- Provides secondary legal support to the Human Resources department, including assistance with employment-related matters, policies, agreements, and documentation.
- Provides ethical solutions to legal matters and counsels business units as needed.
- Monitors regulatory requirements and assists in the compliance function.
- Upholds a strict level of confidentiality and discretion.
Skills:
- Must be proactive and have excellent organization, planning, and follow-through skills.
- Demonstrated ability to negotiate, draft, and manage commercial contracts and licensing agreements.
- Must possess good judgment and the ability to work independently while collaborating closely with members of the Legal department.
- Experience with intellectual property and/or licensing law is preferred.
- Strong oral and written communication skills are required.
- Computer skills; proficiency with Microsoft Suite (Word, Excel, PowerPoint) and legal research software (such as LexisNexis).
- Familiarity with generative AI and contract management technology, and the judgment to use such tools responsibly and ethically.
- The ability to work in a highly confidential capacity is imperative.
- Must be able to understand pertinent technical and legal terminology.
- Must be capable of managing a busy schedule and independently performing a wide range of complex duties.
- Strong interpersonal skills and a professional demeanor are essential.
Educational and Professional Certification Requirements:
- Bachelor’s Degree from an accredited college or university.
- Juris Doctor degree from an accredited law school.
- Must be a fully licensed member in good standing of the State Bar of the State of Ohio and/or other jurisdiction (e.g., state of residence), in accordance with all professional standards and legal requirements.
Preferred Experience:
- Minimum five (5) years’ experience in a leading law firm or corporate legal department, with significant experience in commercial/vendor contracts, content or IP licensing, and/or HR/employment matters.
- Experience in media/entertainment/publishing or general corporate law is a plus.
