Marathon Petroleum is seeking an experienced attorney to join its Corporate, Securities & Finance legal team, reporting into the Deputy General Counsel, Corporate & Finance. This position provides legal counsel and strategic support on a broad range of corporate governance, securities law, capital markets, financing, public company disclosure, executive compensation, and corporate transaction matters.

The successful candidate will work closely with senior Law leadership, the Office of the Corporate Secretary, Finance, Treasury, Investor Relations, Accounting, and executive leadership to help manage legal risk and support the Company's strategic business objectives. This role requires a strong combination of technical legal expertise, sound judgment, practical business advice, and the ability to independently manage complex legal matters while maintaining a proactive, solutions-oriented approach.

Key Responsibilities:

Securities Law & Public Company Reporting

  • Advise on compliance with federal securities laws, SEC regulations, stock exchange requirements, and corporate disclosure obligations.

  • Lead or support preparation and review of SEC filings, including Forms 10-K, 10-Q, 8-K, proxy statements, Section 16 filings, and other public disclosures.

  • Counsel internal clients on disclosure obligations, insider trading compliance, Regulation FD, and other securities law matters.

  • Monitor legal and regulatory developments and provide timely guidance to stakeholders regarding impacts to the Company.

Finance, Treasury & Capital Markets

  • Provide legal support for financing transactions, including debt offerings and other capital market transactions.

  • Draft, review, and negotiate transaction documents and related agreements.

  • Advise Treasury and Finance leadership regarding legal considerations associated with financing activities and corporate transactions.

  • Partner with internal and external counsel to execute strategic financing initiatives while effectively managing legal risk.

Strategic Legal Counsel & Risk Management

  • Serve as a trusted advisor to business clients by providing practical, business-oriented legal guidance on complex matters.

  • Identify legal risks and develop strategies to mitigate exposure while enabling business objectives.

  • Independently manage matters within areas of responsibility while appropriately escalating significant legal or business risks.

  • Support mergers, acquisitions, restructurings, and other strategic corporate initiatives as needed.

Minimum qualifications:

  • Education: Juris Doctorate Degree from an accredited law school required

  • Certification: Licensed to practice law and in good standing in a U.S. state. 

  • Experience: Minimum of 4 years’ relevant experience as a practicing attorney
