The RoleĀ
The Corporate Counsel role willĀ be responsible forĀ providing comprehensive legal support to CAAās business groups, with a primary focus on M&A, JVs and minority investments, real estate, treasury,Ā intellectualĀ propertyĀ and general corporate matters.Ā Ā The Corporate Counsel must have broad corporate and transactional experience with an entrepreneurial mindset and the ability to work collaboratively across various corporate groups, includingĀ Finance & Accounting,Ā Tax,Ā Treasury, GlobalĀ FacilitiesĀ and IT.Ā The Corporate Counsel role will report to the Deputy General Counsel or Senior Corporate Counsel, as directed.Ā Ā

ResponsibilitiesĀ Ā
- Provide support forĀ domestic and internationalĀ corporateĀ transactions, includingĀ purchase agreements, LOIs/termĀ sheetsĀ and associated deal documentationĀ
- Provide support for real estate transactions, including working with members of the facilities team on deal structure and LOI terms, drafting and negotiating lease agreements, and actively managing the legal process relating to real estate mattersĀ Ā
- Supporting various corporateĀ groupsāÆĀ (e.g., Finance and Accounting, Tax,Ā Treasury,Ā etc.) on corporate,Ā regulatoryĀ and otherĀ intercompanyĀ transactional mattersāÆĀ Ā
- Interact with global legal and business colleagues on multi-jurisdictional transactions and initiativesāÆĀ Ā
- Manage outside counsel andĀ maintainĀ primary legal lead on various matters for internal business teamsĀ
- ProvideĀ ongoingĀ support for general corporate matters, including commercial contracts, licensing, investment portfolioĀ managementĀ andĀ corporate entityĀ administrationĀ
- Work on multiple transactions concurrentlyāÆĀ Ā

QualificationsĀ
- Juris Doctor degree and admitted to practice in at least one USĀ jurisdictionĀ (CA preferred) with 4+ years of relevant experience with a top tier law firm orĀ a sophisticatedĀ in-houseĀ legal departmentĀ (experience with the media, entertainment and/or technology industries preferred)Ā Ā
- Ability to multi-task and work quickly and collaboratively under tight deadlinesāÆāÆĀ
- Willingness to roll up sleeves (no job too big, no job too small)āÆāÆĀ
- Sound business judgment andĀ demonstratedĀ experienceĀ providingĀ practical legal adviceāÆāÆĀ
- AbilityĀ to handle sensitive and confidential informationāÆand problem-solve inĀ a professional,Ā creativeĀ and ethical mannerĀ
- Highly responsive and service-oriented attitudeāÆāÆĀ
- Ability to organize, prioritize, and manage deadlines in a fast-paced and demanding work environmentāÆāÆĀ
- Overall broad legal experience in corporate lawĀ (includingĀ legalĀ drafting and deal negotiation from start to finish)Ā
- Excellent written and verbal communication skills, strong analyticalĀ skillsĀ and attention to detailāÆāÆĀ
- Ability to clearly present ideasĀ andĀ summarize complex issues, both in writing and verballyĀ to senior executivesāÆāÆĀ

This position will be based in our LA office with a minimum of 3 days a week in the office.Ā

CompensationĀ
The annual base salary for this position is in the range of $168,000 - $260,000 in Los Angeles, CA.
