The Compliance Contract Manager is responsible for ensuring that all commercial agreements, supplier contracts, and global trade activities comply with applicable U.S. and international regulations. This role oversees tariff classification, import compliance, contract governance, and risk mitigation across the supply base. The position partners closely with Purchasing, Legal, Logistics, Regulatory/Export Compliance, and Program Management to safeguard the company’s commercial and trade compliance posture.

Key Responsibilities

  • Contract Governance & Compliance Oversight Ensure all supplier and customer contracts meet regulatory, commercial, and internal policy requirements, including flow‑downs, terms, and risk provisions.
  • Tariff Classification & Duty Management Lead Harmonized Tariff Schedule (HTS) classification, duty assessment, and tariff‑related cost analysis for imported and exported goods.
  • Import Compliance Management Oversee adherence to U.S. Customs & Border Protection (CBP) regulations, including valuation, country‑of‑origin rules, documentation accuracy, and recordkeeping.
  • Ensure compliance with EAR, ITAR, and other export‑control regulations; manage export licenses, screening, and technology‑transfer controls.
  • Contract Lifecycle Management Support drafting, negotiation, review, and renewal of commercial agreements; maintain contract repositories and audit trails.
  • Government Contracting Compliance Oversight: Ensure supplier and customer agreements comply with U.S. federal acquisition regulations, including FAR, DFARS, agency‑specific clauses, and mandatory flowdowns for government programs.
  • Cross‑Functional Collaboration Partner with Purchasing, Legal, Engineering, and Logistics to ensure alignment on compliance requirements and program objectives.
  • Risk Assessment & Mitigation Identify compliance risks in contracts and trade flows; recommend mitigation strategies and process improvements.
  • Training & Policy Development Develop and deliver training on contract compliance, import/export regulations, and tariff requirements.
  • Supplier Vetting for Government Programs: Conduct due diligence on suppliers participating in government‑funded programs, including responsibility determinations, debarment checks, and compliance with domestic sourcing requirements (e.g., Buy America/Buy American).
  • Audit & Reporting Support internal and external audits; prepare compliance reports and maintain required documentation.

 

Qualifications

  • 5+ years of experience in contract management, trade compliance, or supply‑chain compliance.
  • Strong knowledge of HTS classification, CBP regulations, EAR/ITAR, and global trade processes.
  • Experience with government contracting compliance including FAR/DFARS, government flow downs, and supplier compliance requirements.
  • Familiarity with government audit processes such as DCMA/DCAA reviews, CPSR expectations, and contract file documentation standards.
  • Understanding of federal sourcing and domestic preference rules (Buy American Act, Trade Agreements Act, specialty metals, etc.).
  • Experience supporting purchasing or program management functions preferred.
  • Excellent negotiation, analytical, and communication skills.
  • Ability to manage multiple priorities in a fast‑paced environment.
