Piper Sandler & Co., New York, NY seeks Investment Banking Associate 3 - Collaborating with senior team members on the origination and execution of investment banking mandates for sell-side and buy-side M&A, capital raising advisory project and strategic advisory assignments within the Chemical sector, including public and private corporate transactions such as IPOs (primary and secondary offerings), complex structured deals and corporate restructuring. Developing comprehensive financial models using Excel and PowerPoint to analyze investment opportunities and assess potential risks. Conducting complex valuation analysis and preparing detailed reports on company prospects, including fairness opinions for public company sales to include preparing financial models and financial analysis, including detailed valuation analysis to assess the purchase price of a company using various industry established methodologies including Leveraged Buy Out (LBO) analysis, Discounted Cash Flow (DCF), accretion and dilution, detailed merger models, levered/unlevered returns analyses, comparable company, precedent transactions analysis and sum of parts analysis. Performing in-depth industry and company-specific research, including comprehensive sector analysis evaluating macroeconomic trends, regulatory shifts and competitive dynamics to provide valuable insights supporting valuation assumptions, investment strategies and strategic advice for corporate and financial clients. Preparing investment memorandums and engaging with investors to support capital raising efforts and serving as client liaison to drive M&A and strategic advisory assignments while coordinating workstreams with limited senior supervision. Collaborating with senior team members in executing transaction processes, including due diligence, drafting and negotiating confidentiality agreements, purchase agreements and engagement letters. Interacting directly with internal teams, clients, and external stakeholders in the Chemicals sector to understand their needs, provide updates on project progress, and address any inquiries or concerns throughout the deal execution period and directing the training and development of junior team members by establishing best practices and developing technical training guides. Expanding the business franchise within the Chemicals sector through development of new client relations and interacting with institutional investors by providing up-to-date insights on industry trends, regulatory developments, and market conditions relevant to the industry. Will travel 10% US and/or Int’l to meet with clients, investors for conferences and execution of projects.                    Â
Requires Bachelor’s (or foreign educ. equiv.) Degree in Economics, Accounting, Finance, Statistics or a related field and three (3) yrs. experience in the job offered or related occupation.
Experience must have included Support the origination and execution of investment banking mandates for global public and private companies, serving as the client liaison to drive M&A, restructuring and capital raising (debt and equity) processes while coordinating workstreams and advising on transaction strategy with limited senior supervision; At least 3 years of experience leading teams of junior investment bankers, including executing transactions and managing transaction processes, while simultaneously directing the training and development of junior team members by establishing best practices, developing technical training guides, and overseeing work product quality; Public and private corporate transactions including M&A (buy and sell side), IPO (primary and secondary offerings), complex structured deals including SPAC & RMT, corporate restructuring and strategic advisory assignments; Drafting and negotiating engagement letters, confidentiality agreements and purchase agreements related to investment banking transactions;Â Preparing financial models and financial analysis, including detailed valuation analysis to assess the purchase price of a company using various industry established methodologies including Leveraged Buy Out (LBO) analysis, Discounted Cash Flow (DCF), accretion and dilution, detailed merger models, levered/unlevered returns analyses, comparable company, precedent transactions analysis and sum of parts analysis; Use of Excel and Powerpoint; and Performing comprehensive sector analysis including evaluating macroeconomic trends, regulatory shifts, and competitive dynamics to support valuation assumptions and strategic advice for corporate and financial clients. $225,000/yr.
