Corporate Associate | Structured and Specialty Finance | New York

Our AmLaw 100 client is adding an associate to its New York structured and specialty finance practice. This is a well-established finance platform with consistent deal flow, sophisticated clients, and a reputation for handling complex secured transactions across asset classes.

This role sits within a lean, high-functioning finance group that works across balance sheet financings, structured products, and capital markets style transactions.

Role Summary

You will advise borrowers and lenders on secured financings, with regular exposure to complex collateral structures and tailored credit products. Matters include receivables financings, asset-based loans, structured financings, and transactions involving less traditional asset classes. The work is document-heavy, negotiation-driven, and substantive.

Day to day responsibilities include:

  • Drafting and negotiating credit agreements, security agreements, pledge agreements, and related collateral documents

  • Advising on secured balance sheet financings and structured credit transactions

  • Handling bond and note offerings, including indentures, note purchase agreements, and disclosure materials

  • Working directly with partners and clients on deal execution

Candidate Profile

  • JD class years 2018–2022

  • Prior experience in a finance practice at a peer law firm

  • Hands-on exposure to receivables, asset-based, and/or structured finance transactions

  • Comfort negotiating core finance documents rather than only ancillary materials

  • Experience representing borrowers, lenders, or both

Experience with esoteric asset classes is helpful but not required.

Why This Role

This is a chance to deepen technical finance skills within a practice that values precision, judgment, and real responsibility. Associates in this group are trusted early, and exposed to complex transactions that translate well across top-tier finance practices. The platform supports long-term development for attorneys who want to stay in sophisticated finance work rather than rotate through it.

The compensation range for this role is $260,000 to $420,000, plus benefits and discretionary bonus.
