Your Role & Responsibilities:

To support the continued growth of Graham Partners, the firm is seeking to add an experienced Paralegal to support the Legal Department. Reporting to the General Counsel, the Paralegal will work across all of the firm’s legal workstreams—including portfolio company support, fund formation, and management company activities—with primary responsibility for project management and the review and drafting of contracts and related legal documentation. The candidate must have extremely high attention to detail, be exceptionally well-organized, and be a strong communicator with sound professional judgment and the ability to handle confidential matters with discretion. Project management of legal matters at companies across the Graham Partners’ portfolio.

  • Draft, review, and revise a broad range of contracts, including NDAs, engagement letters, vendor and service agreements, consulting and advisory agreements, and other commercial arrangements for portfolio companies and the firm.
  • Project management of fund formation and completion of accompanying legal documents.
  • Create and maintain comprehensive contract and policy banks and a contract term playbook.
  • Assist the compliance function with documentation and recordkeeping in support of the firm’s regulatory obligations.
  • Support and participate in special projects undertaken by the Legal Team.
  • Support coordination between in-house counsel and outside counsel, as well as other third-party providers.

 

We seek top-tier talent with the following qualifications:

  • At least three years of experience as a paralegal is required.
  • Prior experience working in financial services (e.g., private equity, asset management, banking, or a similar regulated financial institution) or supporting financial services clients at a law firm is required.
  • Demonstrated experience reviewing and drafting contracts and other legal documents.
  • Exceptional attention to detail and organizational skills, including the ability to manage multiple matters and competing deadlines simultaneously.
  • Strong written and verbal communication skills and sound professional judgment.
  • Proven ability to handle highly confidential and sensitive information with discretion.
  • Entrepreneurial mentality with a desire to continuously improve processes and expand capabilities.
  • Proficiency with Microsoft Office, Artificial Intelligence (“AI”) tools and platforms, and document/contract management systems.
  • Experience supporting an in-house legal function or working closely with a general counsel is preferred.
  • Familiarity with private fund structures, fund formation processes, and private equity transactions is a plus.
  • Paralegal certificate and an undergraduate degree from a four-year institution is preferred.
