The Corporate Legal Counsel serves as the Company's primary in-house legal advisor, providing strategic legal guidance to executive leadership while supporting all aspects of the organization's legal, regulatory, and compliance functions. This role partners closely with business leaders to facilitate business growth while minimizing legal and commercial risks.
The successful candidate will lead complex commercial communications, negotiate high-value customer and vendor agreements, oversee litigation and outside counsel, ensure regulatory compliance, and establish best-in-class legal governance across the organization. The ideal candidate combines exceptional legal expertise with strong business acumen and the ability to provide practical, solution-oriented advice in a fast-paced logistics and supply chain environment.
As the legal function continues to grow, this individual will be expected to build, lead, and mentor the internal legal team.
Responsibilities:
Legal Strategy & Corporate Governance
- Develop and execute the Company's legal strategy aligned with business objectives and long-term growth.
- Serve as a trusted legal advisor to executive leadership on strategic initiatives, operational matters, and corporate governance.
- Identify legal risks across the organization and implement proactive risk mitigation strategies.
- Review legal policies, procedures, and governance frameworks to support scalable business operations.
- Manage corporate records, entity governance, state registrations, licenses, and legal documentation.
Commercial Contracts
- Provide practical legal guidance throughout the contract lifecycle while balancing legal risk with business objectives.
- Develop and maintain standard contract templates and contract management processes.
- Draft, review, negotiate, and manage complex commercial agreements, including:
- Customer Service Agreements
- Transportation Agreements
- Warehousing Agreements
- Third-Party Logistics (3PL) Agreements
- Freight Forwarding Agreements
- Carrier Agreements
- Vendor and Procurement Contracts
- Technology and SaaS (Software, Cloud-hosted software) Agreements
- Confidentiality Agreements (NDA)
- Real Estate Leases
- Standard Operating Procedure (SOP)
- Master Service Agreements (MSA)
Regulatory Compliance
- Monitor regulatory developments and proactively communicate business impacts.
- Ensure compliance with all applicable federal, state, and local laws and regulations affecting the logistics and transportation industry.
- Advise business leaders regarding:
- Transportation regulations
- HazMat, DOT and RCRA compliance
- Customs and international trade matters
- Import/Export regulations
- Supply chain compliance
- Data privacy
- Employment laws
- Corporate governance Company Intranet (G-CPMS)
Litigation & Dispute Resolution
- Manage litigation, arbitration, claims, and regulatory investigations.
- Direct and supervise outside counsel while controlling legal expenses.
- Develop litigation strategies that align with business priorities.
- Resolve commercial disputes through negotiation and alternative dispute resolution whenever appropriate.
- Draft, review, and negotiate the full range of legal documents relating to various claims
- Internal communication with relevant stakeholders and external communication with insurance brokers, carriers, third-party administrators, legal counsel, etc.
- Serve as the Company's subject matter expert by interpreting and advising on applicable federal, state, and local laws, regulations, policies, procedures, and legal requirements related to claims, litigation, and dispute resolution.
- Analyze collected data to determine claim validity and coverage and/or liability
- Provide legal advice to internal clients for the resolution of claims and complaints
- Work toward the resolution of claims files and attend arbitrations, mediations, or trials as necessary
Risk Management
- Evaluate legal exposure associated with new business initiatives.
- Conduct legal due diligence for acquisitions, strategic partnerships, and corporate transactions.
- Review insurance coverage and contractual indemnification provisions.
- Collaborate with Finance, Risk Management, HR, Sales, Procurement, Operations, and IT to minimize enterprise risk.
Business Partnership
- Provide timely, practical, and business-focused legal counsel to all functional departments and business leaders.
- Participate in executive leadership and cross-functional meetings to support strategic decision-making and business initiatives.
- Translate complex legal issues into practical business recommendations that enable informed decision-making.
- Support new business opportunities by partnering with business and consulting teams to identify legal risks while balancing commercial objectives and business growth.
- Partner with global headquarters (HQ) in Korea to communicate legal and business matters, provide guidance on U.S. legal requirements, and implement global legal policies and best practices across U.S. business operations.
- Partner with U.S. and Canadian business teams to provide practical legal guidance and support business objectives while managing legal and regulatory risks.
- Collaborate with Canada-based paralegal resources and external legal counsel to support Canadian operations, claims management, compliance matters, and legal documentation requirements.
- Coordinate with global headquarters and regional legal teams to implement consistent legal standards and best practices across North American operations.
Compliance & Ethics
- Develop and maintain corporate compliance programs.
- Create policies and procedures promoting ethical business practices.
- Conduct internal investigations when necessary.
- Deliver legal and compliance training to employees and management.
- Promote a culture of integrity, accountability, and regulatory compliance.
Leadership
- Support and manage company's legal function.
- Mentor and develop future legal professionals.
- Improve legal operations through technology, document management, and standardized processes.
- Manage departmental priorities, outside counsel budgets, and legal resources effectively.
Requirements/Qualifications
- Juris Doctor (J.D.) from an ABA-accredited law school.
- Active member in good standing of the State Bar of Texas.
- 10+ years of legal experience, including both law firm and/or in-house corporate counsel experience.
- Minimum 5 years of in-house corporate counsel experience supporting commercial business operations.
- Extensive experience drafting, reviewing, and negotiating complex commercial agreements, including transportation, warehousing, procurement, technology, and customer service contracts.
- Strong knowledge of U.S. corporate law, commercial transactions, labor and employment law, litigation management, regulatory compliance, and corporate governance.
- Demonstrated experience advising executive leadership on legal risk, strategic business initiatives, and corporate transactions.
- Experience managing litigation, claims, regulatory matters, and outside counsel.
- Proven ability to balance legal risk with business objectives while providing practical, solution-oriented legal advice.
- Exceptional contract drafting, negotiation, analytical, and problem-solving skills.
- Excellent written, verbal, presentation, and interpersonal communication skills.
- Strong organizational skills with the ability to manage multiple priorities in a fast-paced environment.
- High level of integrity, professionalism, sound judgment, and discretion.
- Ability to travel: up to 20%

Preferred Qualifications
- Experience leading or building an in-house legal function.
- Experience supervising or mentoring attorneys, paralegals, or legal support staff.
- Experience working for a multinational or global organization.
- Knowledge of international commercial transactions, customs regulations, and global trade compliance.
- Experience supporting logistics, transportation, supply chain, freight forwarding, warehousing, or other commercial business operations strongly preferred.
- Strong knowledge of transportation and logistics regulations, including import/export, customs compliance, freight forwarding, and supply chain operations preferred.
