Position Summary:
The Contracts and Corporate Governance Coordinator administers contracts, corporate entity filings, and corporate records for Beacon Behavioral Partners. This role keeps agreements moving through review, signature, and filing, maintains accurate entity and governance records across all Beacon entities, and provides organized document support to Compliance, Finance, Operations, and Integrations. The position supports a multi-site behavioral health organization with an active acquisition and de novo pipeline, and reports to the Compliance Officer, who retains responsibility for legal judgment and for the outside counsel relationship.
Essential Duties:
路 Administers contracts, leases, and real estate agreements, tracking each one from intake through execution and filing.
路 Routes agreements for review, signature, approval, and filing, and follows up on outstanding items to keep deadlines from slipping.
路 Maintains ContractSafe as the contract system of record, including data entry, renewal dates, and document uploads.
路 Supports facility governance and licensure requirements by tracking renewal dates and assembling required documentation.
路 Manages entity administration, corporate filings, and registered agent records across all Beacon entities.
路 Completes annual filings, TIN and DBA filings, and updates for corporate changes such as name changes, address changes, and officer changes.
路 Maintains corporate records, minute books, and document repositories so that entity information is accurate and readily available.
路 Assembles and organizes due diligence documents and maintains closing checklists at the direction of the Integrations team and outside counsel.
路 Prepares and organizes documents requested by outside counsel and routes questions requiring legal judgment to the Compliance Officer.
路 Tracks deadlines and dependencies across contracts, filings, and legal matters, and escalates at-risk items to the Compliance Officer.
路 Perform any other duties as assigned.
Qualifications and Skills:
路 High school diploma or equivalent required; associate degree or paralegal certificate preferred.
路 One or more years of experience in a paralegal, legal assistant, contract administration, or corporate records role.
路 Experience tracking documents or agreements through a defined process, including intake, routing, approval, and retention.
路 Familiarity with corporate filings, registered agents, or annual report requirements preferred.
路 Familiarity with contract or document management systems such as ContractSafe, or the ability to learn a new system quickly.
路 Healthcare or multi-site organization experience preferred.
路 Proficient in Microsoft Office, including Word, Excel, Outlook, and SharePoint.
路 Strong attention to detail and the ability to manage many open items at once without losing track of deadlines.
路 Excellent organizational and time management abilities.
路 Ability to handle confidential information with discretion.
路 Ability to communicate effectively with internal leaders, outside vendors, and site staff.
路 Ability to work independently and within a team in a fast-paced environment.
路 Availability of working Monday through Friday from 8:00 AM to 4:30 PM (40 hours per week).
