About the Role

We're hiring a Corporate Counsel to join our Legal department as a generalist in-house attorney. This is a broad, hands-on role covering commercial contracts, employment and HR compliance, AI and emerging technology, and data privacy and security. It's an excellent opportunity for an attorney early in their career to gain wide-ranging experience across the legal needs of a fast-moving software and financial-services company, with direct mentorship from senior legal leadership.

Prior in-house or law firm subject-matter experience is preferred but not required. We're looking for a sharp, motivated attorney with strong judgment, excellent drafting and writing skills, ability to research and apply the law to our business needs, and the willingness to learn across practice areas.

Key Responsibilities

Commercial Contracts

  • Draft, review, and negotiate commercial agreements—vendor and supplier, SaaS and technology, licensing, marketing and partnership agreements, and statements of work.
  • Build and maintain contract templates, playbooks, and a repository in the legal matter-management system, and own intake, tracking, renewal, and approval workflows.
  • Prepare and negotiate NDAs, and maintain the company's NDA templates and process.

Employment & HR Compliance

  • Advise HR and business teams on employment-law questions, including hiring, classification, leave, accommodations, discipline, and separations.
  • Draft and maintain handbooks and company policies

Data Privacy & Security

  • Advise on data privacy and information security matters, including GLBA, the FTC Safeguards Rule, IRC § 7216,andCCPA/CPRA and other applicable state and federal privacy laws.
  • Review data-handling and vendor arrangements, support privacy notices, consents, and data governance, and partner with IT and security on incident-response preparedness.

Artificial Intelligence & Emerging Technology

  • Support AI governance—policies, standards, and review processes for responsible development of AI-powered product features and internal AI tools.
  • Research and advise on legal and regulatory issues arising from AI and machine learning — IRC § 7216 tax-return information, consumer financial data, privacy, IP, consumer protection, transparency, and fairness.
  • Review and negotiate AI and technology vendor agreements, including model usage, training-data and input/output rights, data retention, and risk allocation.
  • Monitor developing federal and state AI laws and guidance, and help the business adapt.
  • Draft user-facing AI terms, disclosures, consents, and internal policies on employee AI use.

Corporate & General Legal Support

  • Support corporate governance and entity maintenance.
  • Assist with trademark, copyright, and IP-assignment matters.
  • Advise business partners on day-to-day legal questions with practical, business-minded solutions, including regulatory compliance in the tax-preparation and financial-software industry.
  • Help manage disputes, and pre-litigation matters, and coordinate with outside counsel as needed.
  • Conduct legal research and prepare clear memoranda for internal stakeholders, and contribute to legal-operations improvements (process, templates, knowledge management).

Required Qualifications

  • J.D. from an accredited law school.
  • Active membership in good standing with U.S. state bar, Utah State Bar preferred.
  • 2+ years of relevant legal experience (in-house, state agency, or law firm)
  • Strong legal research, drafting, negotiation, and analytical skills.
  • Excellent written and verbal communication and attention to detail.
  • A collaborative, service-oriented mindset and eagerness to learn across practice areas.
  • Sound judgment, strong organizational skills, and the ability to manage multiple matters and priorities.
  • High degree of professionalism, discretion, and integrity in handling confidential and sensitive information.
  • Shares TaxHawk's commitment to integrity and regulatory compliance, and helps ensure the company operates squarely within the law rather than in gray areas.

  • Interest in or exposure to the technology, software, fintech, or tax/financial-services industries.
  • Familiarity with contract-management or matter-management tools and legal-technology platforms.
  • Strong process orientation and an interest in building and improving legal workflows.
