JOB SUMMARY: 

Provide high-level administrative and corporate governance support to executive and senior leadership. Work closely with senior executives in a regulated financial services environment, this role supports board and shareholder activities, executive coordination, and highly confidential matters. The position requires exceptional judgement, discretion, emotional intelligence and the ability to remain effective under pressure while managing competing priorities from multiple leaders.

 

RESPONSIBILITIES:

Essential Functions

  1. Provide comprehensive administrative support to executive and senior leadership. 
  2. Manage complex calendars, meetings, travel, deadlines, and executive communications. 
  3. Serve as a central coordination point and liaison between executives and internal/external stakeholders. 
  4. Track and follow up on executive action items and priorities. 
  5. Anticipate needs, resolve issues proactively, and maintain professionalism in fast-paced, high-pressure situations. 
  6. Prepare, distribute, and manage board and committee materials in compliance with legal and banking governance standards. 
  7. Serve as assistant secretary for the holding company and subsidiary boards. 
  8. Record, maintain, and safeguard official board and shareholder minutes and records. 
  9. Organize and support annual board and shareholder meetings, including notices, proxies, regulatory documentation, and logistics. 
  10. Coordinate collection and submission of director and regulatory documentation (e.g., Regulation O materials). 
  11. Communicate professionally with directors, shareholders, regulators, and external partners as directed. 
  12. Manage a consistently heavy workload with frequent interruptions while meeting firm deadlines. 
  13. Balance competing executive priorities with diplomacy, discretion, and sound judgment. 
  14. Handle sensitive legal, financial, regulatory, and personnel information with strict confidentiality. 
  15. Support and organize board and executive events, travel coordination, and meeting logistics. 
  16. Prepare 1099s and other administrative financial documents as requested. 
  17. Perform general administrative duties including filing, records management, and report preparation. 

 

REQUIREMENTS

Minimum Qualifications

  1. Five (5) years of executive or administrative support experience; legal field or regulated industry preferred 
  1. Associate degree in Business Administration preferred 
  2. Advanced proficiency in Microsoft Office 
  3. Strong documentation, compliance, and record-handling skills
  4. Bookkeeping or accounting aptitude
  5. Ability to effectively take and prepare accurate meeting notes and summaries using documentation tools
  6. Excellent written and verbal communication skills
  7. Willingness and ability to work flexible hours, including meetings, events, and occasional travel outside normal business hours.
  8. Valid driver’s license
  9. Strong organizational, prioritization, and time-management skills
  10. Maintain professional appearance, integrity, and adherence to confidentiality, regulatory, and ethical standards 

 

 

Physical Requirements:

Light Work - exerting up to 20 pounds of force occasionally, and/up to 10 pounds of force frequently, and/or a negligible amount of force constantly to move objects. Reaching, fingering, grasping, repetitive motions, stooping, crouching, standing, walking, lifting, climbing, kneeling, talking, hearing, pulling, pushing, thinking, concentrating and interacting with others.
