The position will assist with the provision of legal support to the Texas Farm Bureau group of companies across a broad range of corporate legal matters, helping to ensure their alignment with the companies’ legal, regulatory, and business requirements. The Staff Attorney will work closely with other attorneys and internal teams to support corporate governance activities, assess risk, mitigate legal exposure, ensure legal and regulatory compliance, and protect the organizations’ interests utilizing strong organizational and analytical ability, sound judgment, excellent communication skills, and a commitment to developing expertise across multiple areas of corporate law.

 

MAJOR RESPONSIBILITIES AND AUTHORITY

 

Support corporate governance activities, including preparation of corporate records, board materials, and organizational documents as assigned.

Assist with the drafting of and advising on general corporate matters, documents, and policies, including but not limited to various business organization formative and governing documents as assigned.

Assist with employment law issues, including reviewing personnel policies and employment-related documents, providing legal support on workplace matters such as leave and accommodation issues, investigations, disciplinary actions, and compliance with applicable federal and state employment laws as assigned.

Participate in internal investigations, document reviews, and legal due diligence projects as assigned.

Conduct legal research and prepare written analyses regarding federal, state, and local laws and regulations affecting the organization as assigned.

Provide day-to-day legal support to internal departments on operational, contractual, and compliance matters as assigned.

Review, analyze, and draft a variety of corporate contracts, including but not limited to commercial agreements, vendor contracts, service agreements, licensing agreements, and other agreements as assigned.

Lead or support negotiations with external parties on contract terms, ensuring favorable outcomes for the company while protecting its legal interests as assigned.

Assist with the development, implementation, and maintenance of corporate policies and procedures as assigned.

Assist the Director of Administration / Corporate Counsel with various additional legal issues that may arise within a group of Texas businesses, including but not limited to intellectual property matters, payment systems, cybersecurity and data privacy issues, AI governance, and compliance with various applicable laws and regulatory schemes. 

Comply with the Certified Fleet Operator requirements of the Company Driving and Safety Policy. 

Other duties as assigned.

 

MINIMUM POSITION QUALIFICATIONS

 

Juris Doctor (JD) degree from accredited law school.

Licensed to practice law in the State of Texas.

Strong organizational and analytical skills.

Coursework or experience in one or more of the following areas: corporate law, commercial transactions, employment law, regulatory compliance, or finance.

Experience in a business-focused law firm, judicial clerkship, government agency, or corporate legal department preferred.

Proven ability to prioritize and manage multiple projects effectively.

Excellent written and verbal communication skills.

High attention to detail and sound judgment.

Ability to work independently and as a part of a collaborative legal team.

Valid Texas driver’s license and driving record at the time of hire which would not place the employee on probation or disqualify the employee from Certified Fleet Operator Status under the company Driving and Safety Policy.

 

PHYSICAL REQUIREMENTS

 

Repeated use of PC, telephone, and office machines.

Extended periods of sitting and concentration.

Occasional bending, twisting, crouching, pulling, pushing, and reaching in an office environment.

Occasional lifting and moving of items weighing up to 30 pounds.

 

WORKING CONDITIONS

 

Occasional business travel.

Occasional long, irregular work hours.

Work to be conducted in office environment owned or leased by company.
