Position Summary:

McCarl's is seeking a Commercial Contracts Manager to support the review, negotiation, administration, and closeout of commercial agreements across the company's industrial construction, maintenance, fabrication, and technical services operations.

This role serves as a key commercial resource between Operations, Business Development, Procurement, Finance, Safety, executive leadership, clients, vendors, subcontractors, and outside counsel. The successful candidate will help ensure that contract terms are understood, contract risks are identified and managed, project teams are informed of key obligations, and commercial processes are consistent, practical, and aligned with McCarl's risk posture.

The ideal candidate will have experience with construction or industrial service agreements, including NDAs, MSAs, subcontracts, purchase order terms and conditions, NDAs, change orders, insurance requirements, indemnity, payment provisions, lien waivers, flow-down clauses, and contract closeout, and they will be articulate on the interrelationships between such agreements and technical scopes.

Essential Duties and Responsibilities:

  • Review, draft, negotiate, and administer commercial agreements, including MSAs, NDAs, subcontracts, purchase orders, service agreements, vendor terms, and related contract documents.
  • Evaluate agreements for scope, schedule, cost, payment, safety, insurance, compliance, and operational impacts.
  • Identify, summarize, and escalate unfavorable or non-standard contract terms, including indemnity, insurance, payment, lien waiver, liability limitation, consequential damages, dispute resolution, change order, termination, safety, and flow-down provisions.
  • Support contract negotiations with clients, vendors, suppliers, subcontractors, and outside counsel to achieve balanced, commercially reasonable outcomes.
  • Ensure subcontractor and vendor agreements contain appropriate flow-down provisions from prime contracts.
  • Coordinate with project teams to communicate contract requirements, notice obligations, change order requirements, payment milestones, documentation requirements, and closeout obligations.
  • Provide written contract summaries for project teams to use in project execution.
  • Support project teams with contract administration during execution, including change management, claim preservation, dispute documentation, and contract compliance.
  • Maintain organized and searchable contract records in SharePoint or other company systems.
  • Track contract status, key dates, renewals, expirations, insurance requirements, deliverables, and approval workflows.
  • Develop and maintain contract summaries, risk reviews, approval logs, and weekly contract activity reports.
  • Assist with commercial process improvement, standard templates, work instructions, approval workflows, and contract lifecycle management practices.
  • Liaise with outside counsel as needed while maintaining internal ownership of business and commercial contract administration.
  • Advise and train internal project execution teams on their best practices to support contract fulfillment, closeout, and dispute resolution.
  • Leverage AI tools for efficient management of review turnaround time and high volumes of demand.
  • Promote professional, win-win relationships with clients, vendors, subcontractors, and internal stakeholders.

Qualifications:

  • Bachelor's degree in Construction Management, Business Administration, Engineering, Legal Studies, Supply Chain, or a related field; equivalent construction or industrial contract administration experience may be considered in lieu of degree.
  • Minimum of 5 years of experience in contracts, contract administration, procurement, commercial management, project controls, construction administration, or related commercial role.
  • Experience reviewing or administering MSAs, NDAs, purchase order terms and conditions, subcontracts, vendor agreements, or service agreements.
  • Strong contract reading, writing, issue-spotting, and documentation skills.
  • Ability to identify commercial and operational impacts within contract terms.
  • Strong communication skills with the ability to explain contract requirements to non-legal audiences.
  • Ability to work with Operations, Procurement, Finance, Legal, Safety, Business Development, and executive leadership.
  • Strong organizational skills and attention to detail.
  • Proficiency with Microsoft Word, Excel, Outlook, SharePoint, Co-Pilot, and Teams.
  • Ability to manage multiple priorities and work under deadline pressure.
  • Ability to pass required drug and alcohol, criminal background, and motor vehicle checks.

Preferred Qualifications

  • Experience in industrial construction, mechanical contracting, electrical contracting, EPC, manufacturing, energy, chemical, mining, steel, utilities, or heavy industrial services.
  • Experience with construction change orders, lien waivers, notices, project closeout, claims documentation, certified payroll, or public/private construction payment requirements.
  • Familiarity with insurance certificates, additional insured requirements, waivers of subrogation, indemnity clauses, and subcontractor risk management.
  • Experience with craft union labor agreements or union construction environments.
  • Experience with Vista, Power BI, Power Platform, CRM, document control systems, or contract lifecycle management software.
  • Paralegal certificate, CPCM/CCCM certification, NCMA membership, or construction/legal continuing education is a plus.
  • OSHA-10 certification or ability to obtain OSHA-10.
