Job Description

The Corporate Paralegal plays a critical role in supporting the Valley Health legal team in the areas of contract preparation and management, corporate governance, regulatory compliance, litigation support, and electronic medical record (EMR) audit trail reporting.  This role requires strong analytical skills, excellent organization, discretion, and the ability to work effectively in a fast‑paced, highly regulated healthcare environment.

Responsibilities and Duties

Draft, review, and revise a wide range of contracts, including vendor agreements, service agreements, business associate agreements (BAAs), software licensing agreements, professional services contracts, and other health‑system documents.

Prepare redlines, compare document versions, and maintain accurate revision histories.

Coordinate with internal departments to confirm accuracy of business, operational, and legal terms.

Identify and escalate potential legal, regulatory, or business risks to supervising counsel.

Ensure final contracts are fully executed, stored, and tracked in the contract management system.

Draft, edit, and manage corporate governance documents, including articles of incorporation, bylaws, operating agreements, resolutions, and organizational charts.

Assist with corporate filings, registrations, annual reports, and other regulatory submissions.

Conduct legal and factual research and prepare concise written summaries for attorneys.

Assist with in-house management of litigation and claims, including assisting with responding to subpoenas, discovery requests, and trials.

Work with outside counsel through trial preparation.

Coordinate document collection, preservation, and production.

Review and analyze EMR audit trails as needed for litigation, claims, safety events, and internal legal matters.

Provide sworn testimony in litigation concerning audit trail preparation.

Prepare documentation for regulatory bodies and respond to internal or external requests for information.

Assist with departmental initiatives, and general administrative support.

Maintain organized, accessible, and properly archived records for all legal matters.

Education

Bachelor’s degree is required.

Experience

At least five (5) years of relevant experience in corporate law, litigation support, healthcare law, or a related field is required.

Experience in a health system or other regulated industry is preferred.

Certification & Licensure

Paralegal certificate is preferred.

Qualifications

High degree of accuracy in drafting, reviewing, and managing documents.

Strong written and verbal communication skills.

Ability to manage multiple workflows and prioritize effectively.

Proficiency with Microsoft Office and virtual data rooms; familiarity with EMR systems preferred.

Ability to handle sensitive information discreetly and exercise sound judgment.

Ability to work effectively with attorneys, executives, clinicians, and other stakeholders.
