AJ Chambers are partnered with a well-known, people first law firm based in the West End of London who are recruiting for a Corporate Paralegal.

Full-time, permanent role working alongside an experienced team, with hybrid working 1 day per week available.

Duties:

  • Assisting with the due diligence and disclosure processes in M&A transactions including the management of a data site
  • Drafting board minutes and shareholder resolutions and ancillary documents such as stock transfer forms, director resignations, powers of attorney etc
  • Responsibility for managing transactional steps and document lists for corporate transactions including M&A, reorganisations, demergers etc
  • Assisting at a junior level with drafting corporate documents over a wide range of areas including assisting with shareholder agreements, sale and purchase agreements, investment documents (including warranty schedules), articles of association and other similar corporate documents
  • Dealing/arranging signature of documents via the online Docusign platform and the signing process
  • Preparing transaction bibles of corporate transactions including post-completion follow-up tasks, general administrative tasks

  • Demonstrate a willingness to learn and enthusiasm/commitment for the role
  • Attention to detail
  • Ability to be able to work under pressure and to tight deadlines
  • Good drafting and presentation skills
  • Ability to manage workload including prioritising and managing expectations of those that you are working with
  • Ability to be able to use the firm’s systems including appropriate filings on iManage as regards each client matter
  • Good organisational and teamwork skills including liaising with other departments to complete your tasks
